1. General Conditions 1.1 All quotations, estimates, and tenders are given, and contracts are made by the Company subject to and only upon these Conditions which cannot be varied unless agreed in writing by the Company.
1.2 These Conditions supersede and override all other terms and conditions appearing elsewhere, including (without limitation) any terms and conditions of the Customer referred to on any website or which the Customer may purport to apply under any purchase order or acknowledgement of delivery or similar document, and/or established between the Company and the Customer by course of dealing.
2. Customer Responsibilities 2.1 The Customer shall be responsible for providing the Company with all relevant information regarding the supply of the Equipment and the provision of Services in sufficient time to enable the Company to duly perform the Contract.
2.2 The Customer must ensure that usernames, passwords, and/or PINs used in connection with the Equipment and/or Mobile Network Services are kept confidential and are only used by authorised users. The Customer will inform the Company immediately if it knows or suspects that a username, password, or PIN has been disclosed to an unauthorised user or is being used in an unauthorised way. The Customer will not change or attempt to change a username without the Company’s written consent.
2.3 The Customer acknowledges that the Company has no control over the Customer’s equipment configuration, voicemail security, or other feature services enabled.
3. Payment and Charges 3.1 The responsibility for the cost of connection to the public switch telecommunications network and/or the provision of additional lines to the public telephone system lies with the Customer.
3.2 The Company reserves the right to pass on to the Customer on a cost-plus basis (adding 15%) any charges levied by the Service Provider to which it is exposed as a result of the Customer and/or its End-Users’ actions.
3.3 The Customer shall pay any and all charges relating to any artificially inflated traffic, including the use of unauthorised gateways or devices that result in disproportionately high levels of voice, SMS, or data consumption, regardless of the existence of an “unlimited” voice, SMS, or data allowance.
4. Delivery and Installation 4.1 If delivery or installation is refused or delayed, the Equipment shall be deemed to have been delivered, and payment shall be made by the Customer to the Company of the balance of the Price within seven days of such deemed delivery date.
5. Liability and Maintenance 5.1 Where the Customer enters into an agreement for maintenance of the Equipment with a third party, the Company’s liability for repair, replacement, and renewal under the Contract shall be transferred to the relevant third party maintenance provider on delivery, subject only to the Company’s liability in respect of defects arising on or before delivery of the Equipment, provided that the Customer notifies the Company within three business days of delivery.
5.2 The Company bears no liability to the Customer in connection with any services provided by an overseas network, third party provider, or premium rate provider.
6. Service Interruptions and Maintenance Events 6.1 From time to time, the Company may interrupt the Service to maintain, update, or enhance software, Equipment, or other aspects of the Service and/or the Network. The Company will, where possible, give the Customer a minimum of five business days advance notice of such events and will schedule maintenance events to cause minimum interruption of the Service. However, it may not be possible to give such notice where interruption to the Service is necessary to deal with incidents occurring in connection with the Service.
7. Non-Revocation of Order Clause 7.1 Once the Customer has signed a contract or issued a Purchase Order for the supply of data SIM cards, the order cannot be revoked or canceled under any circumstances after a period of 14 days from the date of the contract or Purchase Order.
7.2 If the Customer attempts to cancel or revoke the order after this 14-day period, the Customer will be liable to pay the full amount of the total contract/Purchase Order value.
8. Fraudulent and Unauthorised Use 8.1 The Company shall not be responsible for charges resulting from fraudulent and/or unauthorised use of the Equipment or Mobile Network Services by the Customer, its End Users, or any third parties (who are not employees of the Company). The Customer agrees to pay all additional charges related to such fraudulent and/or unauthorised use.
8.2 Any assistance given by the Company in relation to fraudulent and/or unauthorised use by the Customer or third parties will be on a best endeavours basis only, and no liability can be accepted by the Company for any loss sustained by the Customer via fraudulent and/or unauthorised means beyond the Company’s reasonable control, except for any fraud and/or unauthorised use by an employee of the Company acting in that capacity.
9. Customer Acknowledgements 9.1 The Customer recognises and acknowledges that the Mobile Network Services depend on the availability of the Systems, which may be adversely affected by physical features, atmospheric conditions, and other causes of interference. Accordingly, the Systems may fail or require maintenance without notice.
9.2 The Customer accepts and acknowledges that the Mobile Network Services are not guaranteed to be secure, and the Company does not guarantee the prevention or detection of any unauthorised attempts to access the Mobile Network Services.
